| The Carnival

in 1969. In the early days when textile products exporters |
| were the leaders in
the business, Carnival was awarded many times by the Executive

| Yuan as an
outstanding exporter. |

pioneer in making Ready-to-Wear suits in Taiwan |
| It is probably still
unknown to many people that the famous "Carnival
Suit" brand first |
| started from making ladies'
apparel. In 1971, Carnival began to export primarily ladies
|
| garments. |
| Although the ladies'
apparel market was later impacted by sharp competition
and |
| limited U.S. quota that
forced Carnival to shift its production bases gradually
away |
| from Taiwan, it has
helped Carnival to solidify its foundation and afforded
Carnival the |
| opportunity for transformation.
Riding on the popular tide of the "leisure suit"
in the |
| U.S., Carnival grasped
the opportunity and launched the "Carnival Suit"
that changed |
| people's habit of wearing
Made-to-Order suits and ushered Taiwan to the "Ready-to- |
| Wear" era. |

| Unparalleled
skills in the apparel industry |
| Carnival has always persisted
in producing the best products with the best skills. In |
| the 1970's, in order
for Carnival to reach the world suit quality standard,
Carnival hired |
| technicians from foreign
countries at high salaries and forged a technical cooperation
|
| agreement with a famous
suit maker, the Ginza Yamagataya Company of Japan. After
|
| going through repeated
pattern making, sample making, pattern altering, garment
fitting |
| and finally, a pattern
that is best suited for people in Taiwan to wear came
into being. |
| It was the throne specially
cast for the top brand of locally made suit made by |
| Carnival. Diversified
products and outlets that can satisfy the different needs
of |
| customers in a single
shopping trip |

| In Taiwan's booming domestic
market, Carnival now has 11 self-owned stores, 47 |
| department store corners
and 7 franchised shops throughout Taiwan. The complete

| sales outlets not onlyprovide
consumers with the most convenient shoppingchannel, |
| attentive shopkeepers
and comfortable shopping environment but also a marketplace
for |
| Carnival's own brands.
In recent years, following the current trend, Carnival
has |
| introduced famous European
and U.S. brands into Taiwan to share with consumers, |
| namely Austin Reed of
the English gentlemen; the famous American designer's
brand |
| Joseph Abboud; refined
French brand Nina Ricci and famous Italian casualwear
brand |
| Cerruti Jeans. The diversified
styles of brands can satisfy consumers' desires for high

| fashion. Carnival will
continue to strive toward brand management adhering to
the |
| spirit of "attentive
to customers in every way" |

| Straddling
the finance and high-tech sectors |
| Working toward diversification,
Carnival, in addition to developing its core business

| worldwide, has straddled
finance, high-tech and telecommunications sectors, such
as the |
| Precision Silicon Corporation
in the high-tech sector; the Preferred Bank of U.S. in
the |
| finance sector; the Da
Chung Bills Finance Corp. and the PowerWorld Securities
Co., |
| Ltd.; the Taiwan PCS
Network Inc. in the telecommunications sector and three
venture |
| capital companies overseas
and four venture capital companies in Taiwan. |

| Complementary
strategic alliance with the Yulon Group |
| In 1998, Carnival and
the Yulon Group forged a strategic alliance that opened
a new |
| page for future development.
The Yulon Group's parent company is the Tai Yuen |
| Textile Company which
is a large factory that pioneered in the textile industry.

| Carnival and the Yulon
Group have much in common as to operational background
|
| and have complementary
abilities. Carnival's chairman Mr. Yang has said: "To
carry |
| on Carnival's operations,
we need a goodcooperative partner. The Yulon Group is
a |
| huge organization with
a long history and it is a large legitimate group. Like
Carnival, |
| the Yulon Group also
started its business from textiles so the two companies
can be |
| complementary to each
other and that is a great help to Carnival". |
